Governance

Clear structure, clear responsibility.

How the fund is organised and overseen under Hong Kong law.

Governance is not paperwork. It is how trust is kept.

Our view

Framework

Valorix Capital LPF is registered with the Companies Registry in Hong Kong under the Limited Partnership Fund Ordinance (Cap. 637).

The Ordinance sets out who is responsible for the fund, and the checks, records and reports it must keep.

Responsibilities

General partner
Horizon Opus Capital Limited. Responsible for the fund’s management and control, with unlimited liability for its debts and obligations.
Limited partners
Professional investors admitted by private placement. Their liability is limited to their commitments, and they do not take part in managing the fund.
Responsible person
Appointed, as the Ordinance requires, to carry out the fund’s anti-money-laundering and counter-terrorist-financing functions.

Safeguards

  1. 01

    Know your investor

Limited partners are admitted only after customer due diligence, in line with Hong Kong’s anti-money-laundering rules.

  2. 02

    Annual audit

The Ordinance requires the fund’s financial statements to be audited every year.

  3. 03

    Records

The general partner keeps the fund’s register of limited partners and its other required records.

  4. 04

    Confidentiality

Information about partners and borrowers is kept confidential, subject to the law.

Conduct

The general partner aims to act honestly, carefully and in the interests of the fund: to identify and manage conflicts of interest fairly, to keep proper records of its decisions, and to deal openly with banks, service providers and regulators.
